These Terms of Service ("Agreement") govern your use of the Workafella website ("Website") and any services offered by Workafella through the Website. This Agreement incorporates by reference the Privacy Policy, applicable Day Pass Agreement, and any other policies, guidelines, or service-specific terms published by Workafella from time to time.

Workafella reserves the right to amend, modify, or update this Agreement at any time by publishing a revised version on the Website. Any such changes shall become effective immediately upon publication unless otherwise stated. Your continued use of the Website following publication of any revised version shall constitute your acceptance of the revised Agreement.

This Agreement does not modify or supersede any separate written agreement entered into between you and Workafella for the provision of services.

If you do not agree to these Terms of Service, you must immediately discontinue use of the Website.

I. Services

Workafella provides flexible workspace solutions and related business services through its centers and digital platforms. Such services may include serviced offices, coworking spaces, managed offices, day passes, meeting rooms, internet connectivity, and other workplace related services offered from time to time.

Information regarding Services displayed on the Website is provided for general informational purposes only and may be updated, modified, or withdrawn without prior notice. Availability of Services may vary based on location, operational requirements, capacity constraints, and other business considerations.

Workafella reserves the right to modify, suspend, restrict, discontinue, or refuse any Service at its discretion. Access to Services may be subject to eligibility requirements, verification procedures, payment of applicable fees, execution of service-specific documentation, and compliance with Workafella policies and procedures.

Photographs, illustrations, layouts, amenities, and descriptions displayed on the Website are indicative only and may differ from the actual facilities available at a particular Workafella centre.

Customer Solicitations & Opt Out Procedure

Marketing Communications: By submitting an enquiry, registering on the Website, purchasing Services, or otherwise interacting with Workafella, you consent to receive communications relating to our services, events, promotions, offers, updates, and customer support.

You may opt out of receiving marketing communications at any time by using the unsubscribe mechanism included in such communications or by contacting Workafella directly.

Operational, transactional, legal, security-related, and service-related communications may continue to be sent where necessary for the provision of Services.

II. Day Pass Services

Certain Services offered through the Website may include day passes, city passes, pan-India passes, meeting room bookings, and other short-term access products (collectively, "Day Pass Services").

All Day Pass Services shall be governed by these Terms of Service, the applicable Day Pass Agreement, Workafella Codes, centre-specific policies, operational requirements, and applicable laws. In the event of any conflict between these Terms of Service and the Day Pass Agreement, the Day Pass Agreement shall prevail with respect to the Day Pass Services.

Access to Day Pass Services is subject to successful completion of payment, booking confirmation, and any KYC or identity verification requirements prescribed by Workafella from time to time.

Users shall provide complete, accurate, and up-to-date information during the booking process. Workafella reserves the right to cancel or refuse any booking where information provided is inaccurate, incomplete, misleading, fraudulent, or incapable of verification.

Purchase of a Day Pass Service does not create any tenancy, lease, licence coupled with possession, proprietary interest, ownership right, membership right, or any similar interest in favour of the user. Users are granted only a limited, revocable, non-transferable right to access and use the applicable Workafella Centre in accordance with the Day Pass Agreement and Workafella Codes.

Unless otherwise expressly stated in the applicable Day Pass Agreement, fees paid for Day Pass Services are non-cancellable and non-refundable except where required under applicable law.

Workafella reserves the right to deny, suspend, restrict, cancel, or revoke access to any Day Pass Service where required for operational, commercial, legal, compliance, health and safety, security, or business reasons, or where a user fails to comply with these Terms of Service, the Day Pass Agreement, Workafella Codes, or applicable law.

Day Pass Services remain subject to availability, capacity limitations, centre operating hours, maintenance activities, security procedures, and other operational requirements. Workafella does not guarantee the availability of any specific seat, workstation, facility, amenity, centre, or location unless expressly confirmed by Workafella.

Users accessing a Workafella Centre through a Day Pass Service shall comply with all applicable Workafella Codes, centre rules, security procedures, and reasonable instructions issued by Workafella personnel from time to time.

III. Website

The Website may contain information relating to Workafella's services, facilities, locations, events, promotions, and other business activities. Such information is provided for general informational purposes only and may be modified, updated, or withdrawn by Workafella at any time without prior notice.

Users may access and use the Website solely for lawful purposes and in accordance with these Terms of Service. Users shall not use the Website in any manner that could damage, disable, overburden, impair, or interfere with the operation, security, or functionality of the Website or the use and enjoyment of the Website by other users.

Users shall comply with all applicable laws and regulations while using the Website and shall not engage in any unlawful, fraudulent, abusive, defamatory, harassing, misleading, or disruptive conduct. Users shall not transmit spam, unsolicited communications, malicious code, viruses, or other harmful material through the Website.

V. Disclaimer of Warranties

Your use of the Website and Services is at your sole risk. The Website and Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, Workafella disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, or completeness.

Without limiting the foregoing, Workafella does not warrant that:

Workafella shall not be liable for any delay, failure, interruption, or inability to provide Services arising from events beyond its reasonable control, including force majeure events, internet failures, telecommunication failures, power outages, acts of government, or third-party service provider failures.

VII. Indemnification

You agree to indemnify, defend, and hold harmless Workafella, its affiliates, directors, officers, employees, agents, contractors, licensors, successors, and assigns from and against any claims, actions, liabilities, losses, damages, costs, and expenses, including reasonable legal fees, arising out of or relating to:

1. your use of the Website or Services;
2. your breach of these Terms of Service or any applicable agreement with Workafella;
3. your violation of any applicable law, regulation, or third-party right;
4. any information, data, content, or materials submitted by you to Workafella; or
5. any negligent, fraudulent, or unlawful act or omission by you.

Workafella reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Workafella in the defence of such matter.

The obligations contained in this section shall survive the termination or expiry of these Terms of Service and your use of the Website or Services.

VIII. Internet Services

Internet connectivity made available at Workafella centres is provided solely as a facility and last-mile connectivity service.

While Workafella maintains commercially reasonable safeguards for its network infrastructure, Workafella does not process, control, monitor, manage, secure, or assume responsibility for users' systems, devices, software, applications, communications, customer information, business data, or IT infrastructure.

Users remain solely responsible for implementing appropriate cybersecurity, backup, encryption, and data protection measures.

Workafella shall not be liable for data loss, corruption, unauthorised access, cyber incidents, malware, service interruptions, connectivity failures, or security breaches except to the extent directly caused by Workafella's wilful misconduct.

IX. Privacy

Workafella is committed to protecting user privacy and handling personal information responsibly.

Collection, use, disclosure, storage, and processing of personal information shall be governed by the Workafella Privacy Policy, which is incorporated into this Agreement by reference.

Workafella may collect, process, store, and use personal information for service delivery, bookings, KYC verification, payment processing, access control, visitor management, customer support, security monitoring, fraud prevention, operational administration, legal compliance, and related business purposes.

X. General

By accessing or using the Website or any Services offered by Workafella, the user acknowledges that they have read, understood, and agree to be bound by these Terms of Service, the Privacy Policy, the Website Terms of Use, and any product-specific agreements, terms, policies, or conditions applicable to the Services availed by the user, as may be amended by Workafella from time to time.

Workafella reserves the right to modify, suspend, discontinue, restrict, or withdraw the Website or any Services, in whole or in part, at any time and without prior notice, where reasonably required for operational, technical, legal, security, or business reasons.

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to the Website, the Services, or these Terms of Service shall be subject to the exclusive jurisdiction of the competent courts at Chennai, Tamil Nadu.
